1. Scope of Services

Divexon provides AI-assisted creative production services, including but not limited to commercial video content, user-generated-style content, product advertising, social media creative, video editing and creative strategy. The specific scope, deliverables and timeline for any project are agreed in writing (including by email) before work begins, typically following a discovery call.

2. Payments

Pricing for each package or project is as agreed at the time of booking, referencing our published packages where applicable, or a custom quote for Enterprise engagements. Payment terms, including any deposit requirements and payment schedule, will be confirmed in writing prior to the start of work. Prices are subject to change for future bookings, but confirmed projects will honour the price agreed at the time of booking.

3. Intellectual Property

Upon full payment, ownership of the final delivered creative assets transfers to the client, unless otherwise agreed in writing. Divexon retains the right to use completed project work (excluding confidential or embargoed material) in its own portfolio and marketing, unless the client requests otherwise in writing. Any underlying tools, templates, or proprietary production methods used by Divexon remain our property.

4. Revision Policy

Each package includes a defined number of revision rounds, communicated at the time of booking. Revisions beyond the included allowance may be subject to an additional fee, which will be agreed with the client before proceeding.

5. Cancellation

Either party may cancel a project prior to the commencement of production, subject to any non-refundable deposit already paid. Once production has begun, cancellation terms will depend on the stage of work completed and will be handled fairly and communicated clearly, with the client billed only for work already carried out.

6. Delivery

Final assets are delivered in the formats agreed for the project (such as 9:16, 1:1 or 16:9), suitable for the platforms specified during the discovery phase. Delivery timelines are estimates provided during discovery and may vary depending on project complexity and revision cycles.

7. Liability

Divexon will carry out services with reasonable skill and care. To the extent permitted by law, our liability for any claim arising from our services is limited to the amount paid by the client for the specific project in question. We are not liable for indirect or consequential losses, including loss of revenue or business opportunity.

8. Confidentiality

Any confidential information shared by the client during the course of a project — including unreleased products, business strategy, or proprietary materials — will be treated as confidential and will not be disclosed to third parties without consent, except where required by law.

9. Governing Law

These Terms & Conditions are governed by the laws of Ireland. Any disputes arising from these terms or from services provided by Divexon will be subject to the exclusive jurisdiction of the courts of Ireland.
